1. The agreement
These terms govern your download, trial and use of AuditMitra — GST Audit Toolkit
("the Software"), published by Opifex Labs. Installing
or using the Software means you accept these terms and the End-User License Agreement
shown during installation.
2. License
Trial: 14 days, full-featured, one trial per computer, free of charge.
Paid license: an annual subscription (list price ₹24,000/year, currently sold
at a launch price of ₹16,000/year) licensing
one named user on one computer for the paid period.
The license is activated against your computer's hardware identity. You may move it
to a new computer yourself using the in-app transfer option (at most once every
30 days).
The license is personal and non-transferable to another person or organisation
without our written consent.
3. What you may not do
Share, resell, rent or sublicense your license key.
Reverse engineer, decompile, or attempt to bypass the license mechanism.
Use one license on multiple computers simultaneously.
Use the Software for any unlawful purpose.
4. Updates and support
An active subscription includes all Software updates released during the subscription
period and email support at hello@opifex.in. When the
subscription lapses, the Software stops working until renewed; your data and outputs
(Excel files it produced) remain yours and remain usable.
5. Professional responsibility (important)
The Software compiles and reorganises data from GST return files
you supply. It is an assistive tool, not a source of legal, tax or audit
conclusions. Output depends on the completeness and correctness of your input files.
You (the professional using it) remain solely responsible for verifying figures and for
every conclusion, order or filing you make. We accept no liability for decisions taken
on the basis of the Software's output.
6. Your data
The Software processes your files locally on your computer. We never receive them.
The limited personal data we do process is described in the
Privacy Policy.
7. Intellectual property
The Software, its design and branding are the property of
Opifex Labs. You receive a license to use it, not
ownership of it.
8. Liability
To the maximum extent permitted by law, our total liability arising out of or relating
to the Software is limited to the license fees you paid in the 12 months preceding the
claim. We are not liable for indirect or consequential losses, or for loss of data caused
by hardware failure, other software, or misuse.
9. Termination
We may revoke a license without refund if these terms are materially breached
(e.g., key sharing or attempts to defeat licensing). Refund-based revocations are
covered by the Refund Policy.
10. Governing law
These terms are governed by the laws of India. Courts at
Ghaziabad, Uttar Pradesh have exclusive jurisdiction.
